1. Introduction

Welcome to Unity Collective ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Unity Collective website, services, and applications (collectively, the "Platform").

By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.

2. Definitions

"NFT" means a non-fungible token or similar digital item implemented on a blockchain (such as the Ethereum blockchain), which uses smart contracts to link to or otherwise be associated with certain content or data.

"User" refers to any individual or entity that accesses or uses our Platform.

"Creator" refers to any User who mints or creates NFTs on our Platform.

"Collector" refers to any User who purchases, acquires, or trades NFTs on our Platform.

3. Account Registration

To access certain features of the Platform, you may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to disable any user account at any time if, in our opinion, you have failed to comply with any of the provisions of these Terms.

4. NFT Marketplace

4.1 Creating and Minting NFTs

As a Creator, you represent and warrant that you have all necessary rights, licenses, and permissions to create, mint, and sell NFTs on our Platform. You retain ownership of the underlying intellectual property rights to your original content.

By minting an NFT on our Platform, you grant the purchaser a limited, non-exclusive, non-transferable license to use, display, and resell the NFT.

4.2 Purchasing NFTs

As a Collector, you understand that you are purchasing a token that represents ownership of a digital asset. The purchase of an NFT does not grant you ownership of the underlying intellectual property rights to the content associated with the NFT, unless explicitly stated otherwise by the Creator.

All transactions on our Platform are facilitated through blockchain technology. Once confirmed on the blockchain, transactions cannot be reversed or refunded.

4.3 Fees and Payments

Unity Collective charges a platform fee for transactions conducted on the Platform. The current fee structure is available on our website and may be updated from time to time.

All payments on the Platform are made in cryptocurrency. You are responsible for paying all fees associated with your transactions, including gas fees required by the blockchain network.

5. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Creating, minting, or selling NFTs that infringe upon the intellectual property rights of others
• Using the Platform to engage in any illegal activities
• Manipulating the price of NFTs through fraudulent or deceptive practices
• Using the Platform to distribute malware, viruses, or other harmful code
• Attempting to interfere with, compromise, or disrupt the Platform or its servers
• Impersonating another person or entity
• Harassing, threatening, or intimidating other users
• Creating multiple accounts to circumvent any restrictions

We reserve the right to remove any content and take appropriate action, including account termination, for violations of these prohibitions.

6. Intellectual Property

The Platform and its original content, features, and functionality are owned by Unity Collective and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any of the material on our Platform without prior written consent.

7. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. UNITY COLLECTIVE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PLATFORM, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE ARE NOT RESPONSIBLE FOR THE ACCURACY, QUALITY, OR RELIABILITY OF ANY NFT OR CONTENT ON THE PLATFORM.

YOU ACKNOWLEDGE THE INHERENT RISKS ASSOCIATED WITH CRYPTOCURRENCY, BLOCKCHAIN TECHNOLOGY, AND DIGITAL ASSETS. WE ARE NOT RESPONSIBLE FOR ANY LOSS OF DIGITAL ASSETS OR CRYPTOCURRENCY.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITY COLLECTIVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE PLATFORM.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO UNITY COLLECTIVE DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Unity Collective and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

• Your violation of these Terms
• Your use of the Platform
• Your creation, listing, purchase, or sale of NFTs
• Your violation of any rights of another person or entity

10. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on the Platform and updating the "Last updated" date.

Your continued use of the Platform after any changes to the Terms constitutes your acceptance of the revised Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms or the Platform shall be resolved exclusively in the courts of Kenya.
